Welcome to Zengo’s Referral Program (the “Program”). The Program allows Zengo Registered Users to earn money for new users they refer to Zengo.

By participating in the Program, you agree to the following Terms and Conditions (the “Terms”), which will become a part of the Zengo User Agreement. If you do not agree to the Terms, then we ask that you please refrain from participating in the Program. 

Definitions

Capitalized terms that are not defined here will have the same meaning given to them in the User Agreement.

“Registered User” – a user that completed the registration process according to the User Agreement.

“Referrer / You” – means a Registered User that participates in the Program under these Terms.

“Referral Code” – means a code assigned by Zengo to the Referrer from time to time to track Qualified Referrals referred by the Referrer.

“Referred User” – an Individual who registered to or otherwise used Zengo by using a Referral Code.

“Zengo/ the App” – The Zengo app, developed and distributed by the Company.

“Company” – Zengo Ltd.

“Buy Transaction” – The purchasing of crypto and digital assets through Zengo. 

“Transaction” – Any action by a Registered User, which has an effect on the Registered User’s Zengo account, including, but not limited to: receive, buy, sell, trade and stake.

“Qualified Referral” – occurs when a Referred User, who has never before completed a Transaction on Zengo, registers to Zengo (or when a Referred User is already a Registered User) and completes at least one Buy Transaction through the App in a minimum sum that will be determined by the Company from time to time, at its discretion. Only successfully completed Buy Transactions made within the App are accepted for a Qualified Referral. 

Eligibility

An eligible Referrer must be a Registered User who completed the backup process according to the instructions presented on Zengo. If at any time, your registration to Zengo is canceled, you will immediately and automatically cease to be an eligible Referrer. 

An eligible Referred User must be an individual who is eligible to become a Registered User or is already a Registered User and has not previously used a Referral Code. 

Each Referrer would be eligible for a reward for up to one Referral per a calendar week.

Program Participation

Registered Users of Zengo have an opportunity to earn a reward for successfully referring other individuals to register to the App or use the App (if they are already registered). For the avoidance of doubt, the Company is not obliged to confirm the registration of any Referred User, and may, in its absolute discretion, deny such registration.

In order to refer new users to Zengo, Zengo will provide you with a unique Referral Code. You may send or provide this Referral Code to any eligible individual that may be interested to join Zengo.

Any Referred User who registers to, or otherwise uses Zengo by using the Referral Code that we provided to you, will be identified in our systems as obtained by your reference and attributed to you as a Referrer. 

Please note that you must send the Referral Code and/or any marketing material according to the applicable terms of the law, any applicable privacy and spam laws which prohibit the delivery of advertisements or commercial messages to addressees that did not give their prior written consent to that delivery. The Company will not endure any responsibility for any Referrer who violated the applicable terms of law when sending the Referral Code.

Rewards 

For each Qualified Referral attributed to you, who completed or more Buy Transactions in total value of $500 or higher, within 30 days following the Referred User activation of the referral code, you and the Referred User will each earn $10. 

The Rewards will be paid in cryptocurrency to the discretion of the company and only to an active Zengo account. If the Zengo account is deleted for any reason, the funds will not be accessible.

From time to time, Zengo may conduct special promotions for its users.  During these promotional periods, the referral program may be paused, or its terms may be amended.  

The sum of the Rewards will be added to your Zengo account within 28 days from completion of the qualifying Transactions. Without derogating from any rights of Zengo under this Program or under any applicable law, Zengo reserves the right, to postpone or cancel (at its sole discretion) the payment of Rewards (or any part thereof) which are, or suspected to be related, directly or indirectly, to any fraudulent activity or act, of any kind whatsoever, at the company’s sole discretion.

Rewards Taxes. All state and/or local income and other taxes, if any, are the recipient’s sole responsibility. 

Use of materials

We may, at our sole discretion, provide you with marketing and promotional materials pertaining to Zengo. We hereby grant you, during the term of these Terms, a non-exclusive, non-transferable, limited right to reproduce or copy the provided materials, for the sole purpose of promoting and marketing the Zengo to potential users. 

All goodwill and other benefits created through your use of the abovementioned materials shall be insure solely to the benefit of the Company. Nothing herein shall grant you any ownership or title in these materials, but only limited rights of use as described above. 

Restrictions

You must not interfere with or disrupt the administration of the Program or engage in any action that may manipulate the Program. As a Referrer, you must refrain from – 

• Making any warranties and/or representations concerning Zengo;

• Assume any obligation of any kind whether express or implied on behalf of the Company;

• Use the Company’s intellectual property rights, except as explicitly authorized under these Terms;

• Violating any rules, guidelines or instructions that we may convey with respect to the Program; 

• Interfering with or disrupting the functionality of the App; 

• Submitting false, inaccurate, deceptive or misleading information;

• Impersonating any person or entity, or making any false statement pertaining to your identity; 

• Engaging in any activity that constitutes or encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law, including laws governing securities or privacy.

• Posting or publishing the Referral Code on any public forum or a public web page.

Term 

The term of these Terms will begin upon your acceptance of the Terms and will end when terminated. The Company may terminate these Terms and/ or the Program at any time, with or without cause.

If you breach any of these Terms, the Company may terminate your participation in the Program immediately and upon such termination all your pending and future Rewards will be canceled. 

The Company has the right, on its sole discretion, to cancel the Program at any time, to amend the Program, start a new Program or to renew a Program.

Indemnification

You will indemnify, defend, and hold the Company and its representatives harmless from and against any and all third-party claims, demands, liabilities, costs, or expenses, including attorney’s fees and costs, arising from or related to any breach by the Referrer of any of these Terms or any violation by the Referrer of applicable law.

Limitation of Liability

The Company will not be liable for any indirect, special, or consequential damages (or any loss of revenue, profits, expenditures or data) arising in connection with these Terms or the Program, even if we have been advised of the possibility of such damages. 

Disclaimers

We make no express or implied warranties or representations with respect to the Program or a Referrer’s potential to benefit from the Program. In addition, we make no representation that the operation of the App or the flow of benefits will be uninterrupted or error-free and the Company will not be liable for the consequences of any interruptions or errors.

Governing Law & jurisdiction

Regardless of your place of residence, incorporation or where you access or use Zengo from, these Terms, your use of Zengo and your participation in the Program, will be governed by and construed exclusively in accordance with the laws of the State of Israel, excluding any otherwise applicable rules of conflict of laws, which would result in the application of the laws of a jurisdiction other than the State of Israel. 

The competent courts in the District of Tel-Aviv-Jaffa in Israel will have exclusive and sole jurisdiction over any dispute, claim or controversy relating to Zengo, to the Program, or with respect to any matter relating to these Terms. You hereby expressly consent to the personal jurisdiction in Israel and expressly waive any right to object to such personal jurisdiction or the non-convenience of such a forum.

Notwithstanding the foregoing, we may lodge a claim against you pursuant to the indemnity clause above in any court adjudicating a third-party claim against us.
